Definitions of organization types listed

Foreign Profit Corporation: An out-of-state corporation, expressly developed for the purpose of earning a profit, that is transacting business in Texas and is not registered with the Texas Secretary of State.

Foreign Limited Liability Company: An out-of-state limited liability company transacting business in Texas and not registered with the Texas Secretary of State.

Foreign Non-Profit Corporation: An out-of-state nonprofit corporation that is conducting its affairs in Texas and is not registered with the Texas Secretary of State. The income is not distributable to members, directors, or officers. A nonprofit corporation may be created for any lawful purposes.

Foreign Professional Corporation: An out-of-state foreign corporation organized for the sole and specific purpose of rendering a professional service in Texas and not registered with the Texas Secretary of State. “Professional service” is defined as any type of personal service that requires a license in Texas.
